These Terms of Service (“Terms”) govern your access to and use of the website at synergosmd.com and the platform and related services (collectively, the “Services”) provided by Synergos MD, Inc. (“Synergos MD,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Description of the Services
Synergos MD provides a technology platform for medical and wellness practices (“Practices”) that supports patient acquisition, appointment scheduling and coordination (including via an AI phone agent and transactional messaging), and related operational tools.
Synergos MD is a technology provider, not a healthcare provider. We do not provide medical advice, diagnosis, or treatment, and we are not a party to the relationship between a Practice and its patients. All clinical decisions, services, and care are provided solely by the Practices and their licensed providers.
2. Not medical advice
Nothing provided through the Services constitutes medical advice. Communications facilitated through the Services — including messages from our AI phone agent — are for scheduling and administrative purposes only. Any medical questions must be directed to a licensed provider at the Practice. If you are experiencing a medical emergency, call 911 or seek immediate medical attention.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.
4. Accounts and responsibilities
Practices are responsible for maintaining the confidentiality of their account credentials and for all activity under their accounts. You agree to provide accurate information and to keep it up to date. You are responsible for your use of the Services and for complying with all applicable laws in connection with that use.
5. Messaging and communications
By providing a phone number through a Practice’s consultation request form, you consent to receive calls and transactional SMS messages (appointment confirmations and reminders) as described in our Privacy Policy. Message and data rates may apply. You may opt out of SMS messages at any time by replying STOP. Our SMS practices are described further in our Privacy Policy.
6. Acceptable use
You agree not to:
- Use the Services in violation of any law or regulation;
- Interfere with or disrupt the integrity or performance of the Services;
- Attempt to gain unauthorized access to the Services or related systems;
- Use the Services to transmit unlawful, harmful, or infringing content;
- Reverse engineer or attempt to extract source code except as permitted by law.
7. Fees
Practices agree to pay the fees applicable to their selected plan. Specific pricing and payment terms are set out in the applicable order or agreement between Synergos MD and the Practice.
8. Intellectual property
The Services, including all software, content, and materials we provide (excluding Practice or user data), are owned by Synergos MD or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. All rights not expressly granted are reserved.
9. Third-party services
The Services rely on third-party providers (such as telephony, messaging, hosting, and database services). We are not responsible for the acts or omissions of third-party providers or for third-party websites or services linked from the Services.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNERGOS MD AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY THE RELEVANT PRACTICE TO SYNERGOS MD IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Synergos MD and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.
13. Termination
We may suspend or terminate access to the Services at any time if you violate these Terms or if necessary to protect the Services or other users. Provisions that by their nature should survive termination will survive.
14. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Delaware, unless otherwise required by applicable law.
15. Changes to these Terms
We may modify these Terms from time to time. We will update the “Last updated” date above when we do. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
